Please read these Terms & Conditions ("Terms") carefully before using the OMNI web platform and the Omni Companion iOS application (collectively, the "Services") operated by OMNI Platforms ("OMNI," "we," "us," or "our").

By creating an account or otherwise accessing the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement and that all information you provide is accurate and complete.

2. Account Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@omniplatforms.com if you suspect any unauthorized use of your account. OMNI will not be liable for any loss resulting from unauthorized use of your credentials.

3. Description of Services

OMNI is a personal health-tracking platform that allows you to log, visualize, and manage data including biomarkers, nutrition, workouts, supplements, medications, and protocols. The Services are intended for informational and self-monitoring purposes only.

The Services do not constitute medical advice, diagnosis, or treatment. Always consult a qualified healthcare professional before making any health-related decisions.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
• Upload or transmit content that is false, misleading, defamatory, or infringes any third-party rights.
• Attempt to gain unauthorized access to other accounts, systems, or networks connected to the Services.
• Reverse-engineer, decompile, or disassemble any part of the Services.
• Use automated tools (bots, scrapers) to access the Services without our express written consent.
• Resell, sublicense, or commercially exploit any part of the Services without our prior written approval.

5. Health Data & Medical Disclaimer

OMNI collects and processes sensitive health data as described in our Privacy Policy. You retain ownership of your health data. By submitting data to the Services, you grant OMNI a limited, non-exclusive license to process that data solely to provide the Services to you.

Nothing on the platform constitutes medical advice. Tracking data, reference ranges, AI-assisted suggestions, and protocol recommendations are for educational and self-monitoring purposes only. Always seek the advice of a licensed physician or other qualified health provider with any questions you have regarding a medical condition.

6. Subscriptions & Payments

Some features of the Services require a paid membership. By subscribing, you authorize OMNI to charge your payment method on a recurring basis at the applicable rate. All fees are stated in US dollars and are non-refundable except as required by law or expressly stated in a refund policy.

We reserve the right to change pricing with at least 30 days' notice. Continued use of the Services after the effective date of a price change constitutes your acceptance of the new pricing.

7. Intellectual Property

All content, features, and functionality of the Services are the exclusive property of OMNI Platforms or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8. Third-Party Services & Integrations

The Services may integrate with third-party platforms (e.g., Fitbit, Tuya, Google). Your use of those integrations is subject to the respective third party's terms of service and privacy policy. OMNI is not responsible for the practices or content of any third-party service.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. OMNI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OMNI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES. IN NO EVENT SHALL OMNI'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO OMNI IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless OMNI and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; or (c) your violation of any third-party rights.

12. Termination

We may suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, OMNI, or third parties. You may delete your account at any time from your profile settings.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law principles. Any dispute arising under these Terms shall be resolved by binding arbitration administered under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

14. Changes to These Terms

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date above. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
